Terms of Service

1. Acceptance of Terms

By accessing or using SonderVoice (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service. SonderVoice is operated by SonderVoice Ltd. (“Company”, “we”, “us”, or “our”).

These Terms apply to all visitors, users, and others who access or use the Service, including businesses (“Business Users”) and their end customers (“Callers”) who interact with the AI receptionist.

2. Description of Service

SonderVoice provides an AI-powered voice receptionist platform that enables businesses to:

  • Answer incoming phone calls using artificial intelligence
  • Schedule and manage appointments
  • Take messages and route inquiries
  • Provide information about business services
  • Integrate with calendar and business management systems

The Service includes a web-based dashboard for configuration and management, API integrations, and the underlying AI voice technology powered by third-party providers.

3. Account Registration

To use certain features of the Service, you must register for an account. When you register, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Immediately notify us of any unauthorized use

You must be at least 18 years old to create an account. By creating an account, you represent that you have the authority to bind your organization to these Terms.

4. Subscription and Payment

4.1 Subscription Plans

The Service is offered on a subscription basis with various plans. Features, pricing, and limitations vary by plan and are described on our pricing page. We reserve the right to modify plans and pricing with 30 days' notice.

4.2 Billing

Subscriptions are billed in advance on a monthly or annual basis. Payment is processed through Stripe, our payment processor. By providing payment information, you authorize us to charge your payment method for all fees incurred.

4.3 Refunds

Refunds are handled on a case-by-case basis. Annual subscriptions may be eligible for prorated refunds within 30 days of purchase. Monthly subscriptions are generally non-refundable.

4.4 Usage Limits

Each plan includes limits on call minutes, appointments, and other usage metrics. Exceeding these limits may result in overage charges or service throttling as described in your plan details.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Harass, abuse, or harm others
  • Transmit spam, phishing attempts, or malicious content
  • Impersonate any person or entity
  • Interfere with or disrupt the Service
  • Attempt to gain unauthorized access to systems or data
  • Collect personal information without consent
  • Use automated means to access the Service without permission
  • Engage in any activity that could damage our reputation

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

6. AI and Call Recording Disclosures

6.1 AI Disclosure Requirements

You are responsible for ensuring that callers are informed they are speaking with an AI system. The Service provides configurable disclosure messages, but you must ensure compliance with all applicable laws regarding AI disclosure in your jurisdiction.

6.2 Call Recording

Calls may be recorded for quality assurance, training, and service improvement. You are responsible for complying with all applicable call recording laws, including obtaining necessary consent from callers. Many jurisdictions require two-party consent for call recording.

6.3 Compliance Responsibility

While we provide tools to help with compliance (such as disclosure scripts), you remain solely responsible for ensuring your use of the Service complies with all applicable laws, including but not limited to TCPA, state privacy laws, and industry-specific regulations (e.g., HIPAA for healthcare).

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

7.1 Your Data

You retain ownership of all data you provide to the Service (“Your Data”). You grant us a limited license to use Your Data solely to provide and improve the Service.

7.2 Caller Data

You are responsible for how you collect, store, and use data about your callers. You must have appropriate privacy policies and obtain necessary consents.

7.3 Data Security

We implement industry-standard security measures to protect Your Data. However, no system is completely secure, and you acknowledge this inherent risk.

8. Intellectual Property

8.1 Our IP

The Service, including all software, algorithms, designs, and documentation, is owned by SonderVoice and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service.

8.2 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a royalty-free, worldwide license to use such feedback without restriction.

9. Third-Party Services

The Service integrates with third-party services including:

  • Retell AI for voice synthesis and conversation
  • Google Calendar for appointment scheduling
  • Stripe for payment processing
  • Various telephony providers

Your use of these integrations is subject to the respective third-party terms. We are not responsible for third-party services and make no warranties regarding their availability or performance.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may:

  • Perform scheduled maintenance with advance notice when possible
  • Suspend service for emergency maintenance
  • Modify or discontinue features with reasonable notice

We are not liable for any damages arising from service interruptions or modifications.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SONDERVOICE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless SonderVoice, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you provide through the Service

13. Termination

13.1 By You

You may cancel your subscription at any time through your account settings. Your access will continue until the end of your current billing period.

13.2 By Us

We may suspend or terminate your account for violation of these Terms, non-payment, or any other reason at our discretion with notice when feasible.

13.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may delete your data after a reasonable retention period. Certain provisions of these Terms survive termination.

14. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the London Court of International Arbitration (LCIA). The arbitration shall take place in London, United Kingdom, and the arbitrator's decision shall be final and binding.

You agree to resolve disputes on an individual basis and waive any right to participate in class actions or class arbitrations.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Your continued use after such changes constitutes acceptance of the updated Terms.

16. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and SonderVoice.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Failure to enforce any right does not constitute a waiver of that right.
  • Assignment: You may not assign these Terms without our consent. We may assign freely.
  • Governing Law: These Terms are governed by the laws of England and Wales.
